{"id":9364,"date":"2025-04-23T07:44:29","date_gmt":"2025-04-23T07:44:29","guid":{"rendered":"https:\/\/toffolettodeluca.it\/?p=9364"},"modified":"2025-04-23T07:46:42","modified_gmt":"2025-04-23T07:46:42","slug":"stop-the-clock-directive-sustainability-due-diligence","status":"publish","type":"post","link":"https:\/\/toffolettodeluca.it\/en\/stop-the-clock-directive-sustainability-due-diligence\/","title":{"rendered":"\u2018Stop the clock\u2019 Directive: more time for sustainability and due diligence"},"content":{"rendered":"\n<p>On 16 April 2025,&nbsp;<strong>Directive 2025\/794<\/strong>&nbsp;(the so-called&nbsp;\u2018Stop the Clock\u2019&nbsp;Directive) was published, postponing the application dates of certain&nbsp;<strong>corporate sustainability reporting<\/strong>&nbsp;requirements in Directive 2022\/2464 (so-called \u2018<strong>CSRD<\/strong>\u2019) as well as the deadline for transposition of the&nbsp;<strong>due diligence provisions<\/strong>&nbsp;in Directive 2024\/1760 (the so-called \u2018<strong>CS3D<\/strong>\u2019).<\/p>\n\n\n\n<p>The measure introduces a more&nbsp;<strong>gradual and realistic<\/strong>&nbsp;implementation of EU-derived regulatory obligations on&nbsp;<strong>environmental and social sustainability<\/strong>, taking into account the operational needs and timeframes businesses require for implementation.<\/p>\n\n\n\n<p>Member States will have to transpose the Directive by&nbsp;<strong>31 December 2025<\/strong>.<\/p>\n\n\n\n<h4 class=\"wp-block-heading has-text-color has-link-color wp-elements-ceb95cb66203dd9040a10a73a7b75732\" style=\"color:#e42a21\">CSRD Directive<\/h4>\n\n\n\n<p><em><strong>C<\/strong><\/em><strong><em>orporate Sustainability Reporting Directive<\/em><\/strong>\u00a02022\/2464, transposed in Italy by Legislative Decree 125\/2024 (see our newsflash of 19 September 2024: \u2018<a href=\"https:\/\/toffolettodeluca.it\/en\/esg-transparency-and-responsibilities-for-italian-companies\/?utm_source=newsflash&amp;utm_medium=email&amp;utm_campaign=esg_transparency_and_responsibilities_16092024\" target=\"_blank\" rel=\"noreferrer noopener\">ESG: transparency and responsibility for Italian companies\u2019<\/a>), introduces the obligation for companies to prepare a\u00a0<strong>sustainability report<\/strong>\u00a0in accordance with European Sustainability Reporting Standards (so-called\u00a0<strong>ESRS<\/strong>) which must provide all the\u00a0<strong>information<\/strong>,\u00a0<strong>including financial<\/strong>, regarding the impact of the company&#8217;s operations on\u00a0<strong>sustainability issues<\/strong>, as well as the\u00a0<strong>ways<\/strong>\u00a0in which these issues influence the company&#8217;s development and performance (so-called principle of\u00a0<strong>double materiality<\/strong>\u00a0or double relevance).\u00a0These data must also cover\u00a0<strong>personnel<\/strong>\u00a0(e.g. working conditions, equality of treatment and other labour-related rights), not limited only to the company&#8217;s own workforce, but also extended to include that of their respective business partners in the so-called\u00a0<strong>value chain<\/strong>.<\/p>\n\n\n\n<p>In the light of&nbsp;<strong>entry into force<\/strong>&nbsp;of the new Directive, the measures imposed by the CSRD will apply from the financial year beginning:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>1 January 2027\u00a0<\/strong>instead of 2025 (or a later date), for all large companies and parent companies of large groups;<\/li>\n\n\n\n<li><strong>1 January 2028\u00a0<\/strong>instead of 2026 (or a later date), for small and medium-sized listed companies,\u00a0small and non-complex credit institutions<strong>\u00a0<\/strong>and captive insurance and reinsurance companies;<\/li>\n<\/ul>\n\n\n\n<p>The date of the financial year beginning 1 January 2028 (or a later date) for non-EU companies remains unchanged.<\/p>\n\n\n\n<p>Please note that the new reporting requirements are, however, already applicable, as of the financial year beginning 1 January 2024, for&nbsp;<strong>public interest entities<\/strong>&nbsp;(e.g. listed companies, banks, insurance and reinsurance companies) with more than 500 employees.<\/p>\n\n\n\n<h4 class=\"wp-block-heading has-text-color has-link-color wp-elements-38cd9766d9e8e9d7c510626a6987d069\" style=\"color:#e42a21\">CS3D Directive<\/h4>\n\n\n\n<p><strong><em>Corporate Sustainability Due Diligence Directive<\/em><\/strong>\u00a02024\/1760 aims to further strengthen\u00a0<strong>companies&#8217; due diligence<\/strong>\u00a0for sustainability purposes by requiring them to ensure compliance with obligations regarding\u00a0<strong>environmental and human rights<\/strong>\u00a0(including workers&#8217; rights) throughout the value chain.<\/p>\n\n\n\n<p>The \u2018Stop the clock\u2019 Directive means that Italy will now have to transpose the CS3D Directive by&nbsp;<strong>26 July 2027<\/strong>&nbsp;instead of 26 July 2026, with the main obligations applying from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>26 July 2028&nbsp;<\/strong>for European companies with more than 3,000 employees and a worldwide net turnover of more than EUR 900 million as well as non-EU companies with the same turnover;<\/li>\n\n\n\n<li><strong>26 July 2029<\/strong>&nbsp;for all the other cases.<\/li>\n<\/ul>\n\n\n\n<p><strong>Toffoletto De Luca Tamajo&nbsp;<\/strong>is at your disposal for any clarification you may need.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Directive 2025\/794 &#8220;Stop the Clock&#8221;
